Terms of Service

1. Acceptance of Terms

If you do not agree to any part of these terms, you must discontinue use of the platform immediately. Continued use of TermResult after any updates to these terms constitutes your acceptance of the revised terms.

These Terms apply to all users of the platform including school administrators, teachers, students, parents/guardians, and any other individuals granted access through a registered school account.

2. Description of Service

TermResult is a cloud-based school management platform designed for Nigerian primary and secondary schools. The platform provides tools for:

• Student records management (enrollment, profiles, class assignment)
• Academic results and broadsheet generation
• Teacher management and activity tracking
• Attendance recording and reporting
• Online examinations and assignment submission
• Fee management and payment tracking
• Announcement and communication tools
• Timetable management
• Student and teacher portals with role-based access
• School-specific public landing pages with custom branding
• Reports, analytics, and data export capabilities

Features available to a school depend on the subscription plan selected. We reserve the right to modify, add, or discontinue features at any time, with reasonable advance notice where the change materially affects existing users.

3. Account Registration

3.1 School Registration

To use TermResult, a school must register an administrator account and complete the school setup process. Registration requires accurate, complete, and up-to-date information. Schools that provide false or misleading information during registration may have their accounts suspended or terminated.

Each school receives its own secure subdomain (e.g. yourschool.termresult.com) upon registration. Subdomains are assigned at our discretion and may be changed by mutual agreement.

3.2 Teacher & Student Accounts

Teacher and student accounts are created by school administrators within the platform. The school administrator is responsible for ensuring that only authorised individuals are granted access and that credentials are not shared.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@termresult.com if you suspect any unauthorised access to your account.

We will not be liable for any loss or damage resulting from your failure to maintain the security of your account.

4. User Responsibilities

4.1 School Administrators

• Ensure that all information entered into the platform is accurate and up to date
• Manage teacher and student access appropriately, revoking access when individuals leave the school
• Obtain any necessary consents (including parental consent for minors) before entering personal data
• Comply with all applicable Nigerian laws including the Nigeria Data Protection Act (NDPA)
• Maintain confidentiality of administrative login credentials
• Ensure subscription fees are paid on time to maintain uninterrupted service

4.2 Teachers

• Enter accurate student results, attendance, and other academic records
• Use the platform only for legitimate school management activities
• Maintain the confidentiality of student data accessed through the platform
• Not share login credentials with any other person

4.3 Students

• Access only their own academic records and authorised platform features
• Use the examination module honestly and without attempting to cheat or exploit system vulnerabilities
• Not share login credentials with other students or individuals
• Report any suspicious activity to their school administrator

5. School Data & Content

5.1 Ownership of Your Data

All personally identifiable data you upload or enter into TermResult — including student records, results, attendance data, announcements, and school branding — remains your property insofar as it pertains to identifiable individuals and specific institutional records. We do not claim ownership over your school's raw, personally identifiable data.

5.2 Licence to Process Your Data

By using TermResult, you grant us a non-exclusive, worldwide, royalty-free licence to store, process, display, and analyse your data to the extent necessary to provide and improve the platform's services. This includes the right to generate aggregated, anonymised, and de-identified derivative datasets from your data for the purposes of educational research, developmental analytics, statistical reporting, and the advancement of national educational infrastructure as further described in Section 5.5. The licence to process your identifiable data terminates when you close your account and your data is deleted in accordance with our data retention policy; however, any aggregated or anonymised datasets previously derived therefrom shall remain the property of TermResult in perpetuity.

5.5 Use of Aggregated & Anonymised Data for Research and Development

You acknowledge and agree that TermResult shall be entitled to compile, aggregate, anonymise, and otherwise render non-identifiable the data generated through your use of the platform, and to utilise such processed data for purposes including but not limited to: educational research and statistical analysis; contributions to national and international developmental objectives; publication of aggregated insights to governmental authorities, accredited educational bodies, and bona fide research institutions; the improvement and optimisation of the platform's algorithms, analytical capabilities, and service offerings; and the development of new products, services, and methodologies in furtherance of educational advancement.

TermResult undertakes that all such utilisation shall be conducted in strict compliance with applicable data protection legislation, including the Nigeria Data Protection Act (NDPA), and that no personally identifiable information — including names, contact details, biometric data, or any information capable of facilitating the re-identification of individual data subjects — shall be disclosed, published, or otherwise made accessible in the course of such activities. The aggregated and anonymised datasets generated pursuant to this clause shall constitute the exclusive intellectual property of TermResult.

5.3 Data Export

You may export your school's data at any time using the platform's export features. We also provide a full data export upon written request. We strongly recommend exporting your data before closing your account.

5.4 Content Standards

All content entered into the platform (announcements, notes, assignment descriptions) must:

• Be accurate and not misleading
• Not contain any material that is defamatory, obscene, discriminatory, or offensive
• Comply with applicable Nigerian laws including child protection laws
• Not infringe the intellectual property rights of any third party

6. Prohibited Activities

You agree not to engage in any of the following:

• Attempting to gain unauthorised access to any part of the platform, other schools' data, or our infrastructure
• Using the platform to distribute malware, viruses, or any malicious code
• Scraping, crawling, or extracting data from the platform without our written permission
• Reverse-engineering, decompiling, or disassembling any part of the platform
• Using automated bots, scripts, or tools to interact with the platform without our consent
• Impersonating another user, school, or TermResult staff member
• Using the platform for any illegal purpose under Nigerian law
• Attempting to circumvent access controls, subscription restrictions, or feature gates
• Submitting false, inaccurate, or fabricated student data
• Selling, reselling, or sublicensing access to the platform without our written consent

Violation of any of these prohibitions may result in immediate account suspension or termination, without refund, and may be reported to the relevant authorities.

7. Subscription & Payment

7.1 Subscription Plans

TermResult offers subscription plans with pricing detailed on our Pricing page. All subscriptions are billed in Nigerian Naira (NGN) unless otherwise stated. Plan features and pricing are subject to change with reasonable advance notice.

7.2 Payment

Subscription fees are due in advance for the billing period selected (monthly or annual). Payments are processed through our authorised payment partners. By providing payment information, you authorise us to charge the applicable fees.

7.3 Late Payment & Service Suspension

If payment is not received by the due date, we may suspend access to the platform after a grace period of 7 days. Suspended accounts retain their data for 30 days, during which payment can be made to restore access. After 30 days without payment, accounts may be permanently deleted.

7.4 Refund Policy

Subscription fees are generally non-refundable. If you believe you were charged in error, please contact us within 7 days of the charge at support@termresult.com and we will review your case.

In cases where we are unable to provide agreed features for an extended period due to our own technical failures, we may issue a pro-rata credit at our discretion.

7.5 Price Changes

We will provide at least 30 days' written notice before increasing subscription prices. Price changes will take effect at the start of your next billing cycle following the notice period.

8. Intellectual Property

TermResult, including its design, codebase, algorithms, user interface, branding, and all associated content (excluding your school's data) is the exclusive intellectual property of TermResult. All rights are reserved.

You may not:

• Copy, reproduce, or redistribute any part of the platform or its code
• Use the TermResult name, logo, or branding without our prior written consent
• Create derivative works based on our platform
• Claim ownership of any platform feature or design element

Any feedback, suggestions, or feature requests you provide may be used by us to improve the platform without any obligation to compensate you.

9. Privacy

Your use of TermResult is also governed by our Privacy Policy, which is incorporated into these Terms of Service by reference. By using the platform, you acknowledge that you have read and understood our Privacy Policy.

10. Service Availability

We aim to maintain platform availability of 99.5% or greater, excluding scheduled maintenance periods. We will provide reasonable advance notice of planned downtime where possible.

We are not liable for interruptions to service caused by circumstances outside our reasonable control, including but not limited to power outages, internet service provider failures, natural disasters, or actions of third parties.

We reserve the right to perform scheduled maintenance at any time. We will endeavour to schedule maintenance during off-peak hours and to notify users in advance.

11. Disclaimers

TermResult is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the platform will be error-free, uninterrupted, or free of viruses
• Warranties as to the accuracy or completeness of any information provided through the platform

We do not guarantee that the platform will meet all of your specific requirements or expectations. It is your responsibility to ensure the platform is suitable for your needs before subscribing.

12. Limitation of Liability

To the maximum extent permitted by Nigerian law, TermResult and its directors, employees, and agents shall not be liable for any:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunity
• Costs of procuring substitute services
• Losses arising from your reliance on information on the platform

Our total aggregate liability to you for any claims arising out of or relating to these Terms or your use of the platform shall not exceed the total amount you paid to us in the 3 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless TermResult and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the platform in violation of these Terms
• Your violation of any applicable law, regulation, or third-party rights
• Data you enter or upload to the platform that infringes any third-party rights
• Any claim by a student, parent, or teacher arising from your administration of your school account

14. Termination

14.1 Termination by You

You may cancel your school's subscription at any time. Upon cancellation, your access will continue until the end of the current billing period. Please export your data before your account is closed.

14.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You materially breach these Terms of Service
• You engage in any prohibited activity
• We are required to do so by law or court order
• We reasonably believe your account poses a security risk to the platform or other users
• Your subscription remains unpaid beyond the grace period

For non-urgent breaches, we will attempt to provide 7 days' notice and an opportunity to remedy the breach before termination.

14.3 Effect of Termination

Upon termination, your right to access the platform ceases immediately. Your data will be retained for 90 days after termination, during which you may request an export. After 90 days, all data will be permanently and irreversibly deleted.

15. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

We encourage you to contact us first to resolve any dispute informally before initiating formal proceedings.

16. Changes to Terms

We may update these Terms of Service from time to time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify school administrators via email at least 14 days before the changes take effect
• Display a notice on the platform dashboard

Your continued use of TermResult after the effective date of any changes constitutes your acceptance of the revised terms. If you do not agree to the new terms, you must cease using the platform.
